Third-Party Vendor Products - Liability Disclaimer

Our services are supported by technology including hardware and software provided by third-party vendors (collectively, "Third-Party Vendor Products"). These products may include, but are not limited to, services used for sending emails, managing databases, and other underlying technologies necessary for our service delivery. These Third-Party Vendor Products are governed by their respective vendor terms and conditions (the "Vendor Terms").

Disclaimer of Liability: Opus expressly disclaims any and all liability related to Third-Party Vendor Products. We do not endorse, warrant, or assume responsibility for the functionality or performance of any Third-Party Vendor Product. Users agree that the use of such products will be solely governed by the applicable Vendor Terms provided by third parties and available through direct links furnished in our service or upon request.

Performance Failures: In the event of a performance failure attributed to Third-Party Vendor Products, Opus will endeavor to notify affected users and take reasonable steps to facilitate continuity of service where feasible. However, Opus is not responsible for resolving any such failures and cannot guarantee resolution times, as these depend on the third-party vendors.

Wire Payments Requests – Liability Disclaimer

Opus accepts no responsibility and /or liability for wire transfers not delivered because the client has not accurately and completely entered required information into the Client Portal system. It is the client’s responsibility to verify that all of the required information has been entered correctly into Client Portal. Opus will seek to notify the client by e-mail if a wire is not successfully completed and /or transmitted. The client can check the wire payment history on Client Portal, as well as their e-mail, to verify that a transfer was successfully completed. In addition, clients are responsible for taking note of notices posted on the Client Portal home page regarding changes to wire transfer procedures and requirements instituted from time to time by the various international banking and clearing organizations.

LIMITATION OF LIABILITY

BECAUSE OF THE POSSIBILITY OF HUMAN AND MECHANICAL ERROR AS WELL AS OTHER FACTORS, OPUS IS NOT RESPONSIBLE FOR ANY ERRORS IN OR OMISSIONS FROM THE INFORMATION CONTAINED IN OR THROUGH THIS WEBSITE. This website is dedicated to Opus clients, and their investors only. The user’s access to and use of Opus website, and the terms of the disclaimer are governed by the laws of Bermuda.

Service Scope Disclaimer: Understanding the 'NAV-Lite' Service Level

Where 'NAV-Lite' has been indicated to be the Service Level performed by Opus, you accept and acknowledge the following:

  1. Opus utilizes the total ending balance from the designated information source, such as a prime broker or lending platform. Opus posts adjusting journals to reflect the increase or decrease in the total net value movement during the specific period;
  2. No underlying trades or positions are recorded in Opus portfolio accounting systems;
  3. Opus does not perform any audit of the source data;
  4. Opus performs i) no independent verification of the existence of open positions or individual transactions; and ii) no independent valuation of the open positions; at the end of each NAV period;
  5. Opus is not responsible for the accuracy of the underlying data received from the information source; and
  6. In certain circumstances, Opus may not independently receive the source inputs directly from the underlying information source.

Investor Responsibility: The services performed for each fund may be unique. It is critical that Investors conduct detailed due diligence to fully understand the specific work Opus completes for each fund, and the risks associated with 'NAV-Lite' method of accounting.
